Stamp Duty bearer instrument (Stamps BI 1)

Details

Complete the Stamp Duty BI 1 form if you’re a company (or their agent) proposing to issue a UK ‘share warrant bearer’ (commonly known as bearer shares).

Bearer instruments and shares are similar to ordinary company shares, except that the owner of the bearer share is not recorded or registered. This means that whoever physically holds the bearer share is the beneficial owner.

UK companies were prohibited from issuing bearer shares on 26 May 2015.

Find out more information about bearer instruments in the HMRC Stamp Taxes on Shares Manual.

Email HMRC to ask for this form in Welsh (Cymraeg).
