How to complete paper form MR01

When to file

You must deliver the correctly completed documents to Companies House within 21 days beginning the day after the charge was created. For example, a charge dated 6 April 2025 must be delivered by 27 April 2025.

Use the correct form

For a company registered in England, Wales, Scotland or Northern Ireland, use form MR01.

For a limited liability partnership (LLP), use form LL MR01.

What to include

You must deliver the following together:

  • the form
  • a certified copy of the written instrument signed by the charging company
  • the fee

Do not submit the original written instrument. Companies House will keep the document you submit and make it available for the public register.

We will reject your application if you do not deliver all documents together. We cannot contact you to request missing documents or keep an incomplete application while we wait for missing documents.

Written instrument

The form must be accompanied by a certified copy of the written instrument signed by the charging company. If executed as a ‘deed’ then you must affix the common seal of the company or it must be signed by 2 people (either directors and secretary or director and a witness).

For an LLP, it must be signed by at least 2 members of the LLP or one member with a witness signature.

If executed in counterpart we only require the counterparts signed by the charging companies.

1. Company details

Enter the charging company’s company name and number. Both must match the name and number on Companies House records.

2. Charge creation date

Enter the date of creation of the charge, according to the following options.

Standard security

The charge creation date is the date of its recording in the Register of Sasines or its registration in the Land Register of Scotland.

Charge other than a standard security, where created or evidenced by an instrument

If the instrument is:

  • a deed that has been executed and has immediate effect on execution and delivery, the charge creation date is the date of delivery
  • a deed that has been executed and held in escrow, the charge creation date is the date of delivery into escrow
  • a deed that has been executed and held as undelivered, the charge creation date is the date of delivery
  • not a deed and has immediate effect on execution, the charge creation date is the date of execution
  • not a deed and does not have immediate effect on execution, the charge creation date is the date on which the instrument takes effect

Charge other than a standard security, where not created or evidenced by an instrument

The charge creation date is the date on which the charge comes into effect.

3. Name of persons, security agents or trustees entitled to the charge

Enter the names of the people entitled to the charge. The names must accurately reflect the written instrument.

If there are more than 4 names, enter any 4 of the names and tick the statement: “I confirm that there are more than 4 persons, security agents or trustees entitled to the charge”.

4. Description

Enter a short description of any specified land (including buildings), ship, aircraft or intellectual property that have been charged.

If there are several plots of land, aircraft, ships or intellectual property being charged, describe at least one in the text field. Add a statement along the lines of “for more details of land, ship, aircraft or intellectual property charged please refer to the instrument”.

This is the only information required in this section.

If there is no specified land, ship, aircraft or intellectual property, leave this section blank or write “none”.  

5. Charge or fixed security

Tick the appropriate box if the written instrument contains any charging clauses that create a charge or fixed security other than the charges over land, ship, aircraft or intellectual property you detail in section 4.  

6. Floating charge

If the written instrument contains a floating charge, tick the appropriate box.

If you tick yes and the floating charge covers all the property and undertaking of the company, tick the appropriate box.

7. Negative pledge

If the written instrument has terms that prohibit the chargor from creating any further security that will rank equally with or ahead of the charge, tick the appropriate box.

8. Trustee statement

You may tick the box if the chargor is acting as a trustee. You can notify us later using a form MR06.

9. Authentication

Someone with an interest in the charge must enter their printed name on the form. For example the company, the lender, or a representative of the company or lender including solicitors and accountants.

You do not need to include a signature.

Errors on the form

If the form contains errors, we will normally reject it and return it to the presenter.
