How to complete paper form MR02

Use the right form
For a company registered in England, Wales, Scotland or Northern Ireland, use form MR02. Only use form MR02 if the creation date of the original charge is on or after 6 April 2013.
For a limited liability partnership (LLP), use form LL MR02.
What to include
You must deliver the following together:
- the form
- a certified copy of the original written instrument
- the fee
Do not submit the original written instrument. Companies House will keep the document you submit and make it available for the public register.
We will reject your application if you do not deliver all documents together. We cannot contact you to request missing documents or keep an incomplete application while we wait for missing documents.
When to file
There is no specified period of time for delivering the acquisition.
1. Company details
Enter the name and number of the company acquiring the property. Both must match Companies House records.
2. Charge creation date
Enter the date of creation of the original written instrument.
3. Date property was acquired
Enter the date the company acquired the property.
4. Name of persons, security agents or trustees entitled to the charge
Enter the names of the people entitled to the charge. The names must accurately reflect the written instrument.
If there are more than 4 names, enter any 4 of the names and tick the statement: “I confirm that there are more than 4 persons, security agents or trustees entitled to the charge.”
5. Description
Enter a short description of any specified land (including buildings), ship, aircraft or intellectual property that has been charged.
If there are several plots of land, aircraft, ships or intellectual property being charged, describe at least one in the text field. Add a statement along the lines of “for more details of land, ship, aircraft or intellectual property charged please refer to the instrument”.
This is the only information that is required in this section. If there is no specified land, ship, aircraft or intellectual property, leave this section blank or write “none”.
6. Charge or fixed security
Tick the appropriate box if the written instrument contains any charging clauses that create a charge or fixed security other than the charges over land, ship, aircraft or intellectual property you detail in section 4.
7. Floating charge
If the written instrument contains a floating charge, tick “yes”.
If you tick “no”, go to section 8.
If you tick “yes” and the floating charge covers all the property and undertaking of the company, tick “yes” again.
8. Negative Pledge
If the written instrument has terms that prohibit the chargor from creating any further security that will rank equally with or ahead of the charge, tick the appropriate box.
9. Trustee statement
Tick the box if the chargor is acting as a trustee of the property or undertaking which has been charged tick the box. You can file a trustee statement once a charge has been registered by filing an MR06.
10. Authentication
Someone with an interest in the charge must enter their printed name on the form. For example the company, the lender, or a representative of the company or lender including solicitors and accountants.
You do not need to include a signature.
Errors on the form
We will reject the form and return it to you if it contains errors, if you have not paid the fee or if documents are missing.
