Joint venture between the University of Liverpool and Pinggao Group Ltd to establish the Pinggao-Liverpool European Institute for Advanced Energy Technology: revocation notice

1. A Final Order pursuant to section 26 of the “the Act” came into force on 20 June 2024.
2. The Parties who are subject to that order are:
i. Pinggao Group Limited
ii. The University of Liverpool
3. The parties intended to establish a joint venture between the University of Liverpool and Pinggao Group Limited to establish the Pinggao-Liverpool European Institute for Advanced Energy Technologies (PL-EIET). PL-EIET is a qualifying asset under section 7 of the Act.
4. The acquisition constituted a trigger event under section section 9(1)(a) of the Act.
5. The joint venture between the University of Liverpool and Pinggao Group Limited was approved and the establishment of PL-EIET subject to conditions set out in the Final Order.
6. Subsequently, Pinggao Group Limited has informed ISU that the establishment of PL-EIET will not go ahead, therefore no trigger event will occur under the Act.
7. The Chancellor of the Duchy of Lancaster considers that the statutory test for making a final order, as set out in Section 26(3)(a)(i), is no longer met as a trigger event is no longer in contemplation. The Final Order made on 20 June 2024 is therefore revoked.
