Lot 2 — Financial advisory services

In respect of land and property assets held, to be acquired, or invested in (by way of third parties) by Homes England and other public bodies including, but not limited to, residential, commercial and industrial, health, leisure and retail property, agricultural and mixed-use property.

The property professional and technical services we are seeking to procure include:

  9. Counterparty advice and assistance

  11. Environmental, social and governance advice
  12. General services

1. Corporate financial advice

1.1 To provide corporate financial advice including strategic, commercial and financial analysis of investments and projects, the options available and potential scenarios.

2. Due diligence

2.1 To provide financial and operational due diligence, including the assessment of key stakeholders, processes and organisational structures related to Homes England investment projects.

3. Capital structure analysis

3.1 To provide capital structure analysis and advice on the structuring of investments, including the evaluation of funding options and financing arrangements.

4. Financial modelling

4.1 To develop, review, audit and evaluate financial and project-specific models, including the creation of bespoke financial models to support residential-led joint ventures and single or multi-development projects.

5. Market assessment

5.1 To provide assessment and testing of current market conditions and participants, including analysis of the capability, capacity and appetite of private investors to lend to or invest in the housing sector.

6. Tax and accounting services

6.1 To provide tax and accounting advice in relation to Homes England’s existing and new investment projects.

7. Auditing and assurance services

7.1 To provide auditing and assurance services in relation to Homes England’s existing and new investment projects, including independent review and validation of financial and operational information.

8. Insurance advice services

8.1 To provide insurance advice in relation to Homes England’s existing and new debt investments, including the assessment of insurance requirements and risk mitigation strategies.

9. Counterparty advice and assistance

9.1 To provide advice and assistance in meetings and negotiations with counterparties and their professional advisers.

10. Restructuring and insolvency advice and services

10.1 To provide restructuring and insolvency advice and services in relation to distressed and defaulted investments, including strategic options analysis, risk evaluation, and estimated outcome assessments. To take fixed charge receiver, Law of Property Act (LPA) receiver and administration appointments if required.

11. Environmental, social and governance (ESG) advice

11.1 To review and provide advice on the design and ESG characteristics of investments.

12. General services

12.1 To prepare timetables of events, liaise with other parties and process management of projects to operationalise new ventures.

12.2 To provide training and skills development for Homes England staff. For example, emerging environmental, social and governance (ESG) metrics, sustainability, digital adoption and transformation.
