Register of Overseas Entities fees determination

Fee determined by the Registrar of Companies

1. The Registrar of Companies determines the fees set out below in exercise of the power conferred on them by section 1063(5) of the Companies Act 2006(a) (fees payable to the registrar) to determine fees chargeable in respect of the performance of functions or the provision of services or facilities by them.

2. The fees so determined are fees which apply in relation to functions, services and facilities for which fees are not provided for in regulations or, where such fees are provided for, in circumstances other than those to which such fees apply.

3. Any words or expressions which are used in this document which are defined or otherwise explained in the Economic Crime (Transparency and Enforcement) Act 2022 (the “2022 Act”) have the same meaning or explanation here as they have in the 2022 Act.

4. Certified copies are provided as ‘same day delivery’ or ‘same day collection’ if:

  • a. a request for same day delivery is received by the registrar before 11am on the day in question, and
  • b. the appropriate certificate or certified copy is issued to the applicant on that day
Matter in relation to which the fee is payable Fee payable
(a) For an application to make information relating to an individual unavailable for public inspection under Part 1 Section 25 of the 2022 Act save for where the application is made on the ground that the relevant individual’s usual residential address is on the register (as per regulation 7(3)(b) of the Register of Overseas Entities (Delivery, Protection and Trust Services) Regulations 2022) in which case the fee payable is that provided for in row (b) below £100
(b) For an application to make information relating to the usual residential address of an individual in a single document (however many times those details are set out the relevant document) unavailable for public inspection under Part 1 Section 25 of the 2022 Act £30
(c) For the provision of certified copies of material under Part 1 Section 21 of the 2022 Act £15
(d) For the provision of certified copies of material under Part 1 Section 21 of the 2022 Act (same day) £50
