Acquisition of assets belonging to the University of Southampton by Voyis Imaging Inc: notice of final order

1. The Secretary of State has made a Final Order pursuant to section 26 of the National Security and Investment Act 2021 (“the Act”), which comes into force on 08 June 2023.

2. The Parties who are subject to the order are:

i. THE UNIVERSITY OF SOUTHAMPTON;

  • i. Any subsidiary of the entity;
  • ii. Any entity controlled by the entity;
  • iii. Any affiliate of the entity
  • iv. and for these purposes a person or group of persons able, directly or indirectly, to control or materially to influence the policy of a body corporate but without having a controlling interest in that body corporate, may be treated as having control of it.

ii. VOYIS IMAGING INCORPORATED;

  • i. Any subsidiary of the entity;
  • ii. Any entity controlled by the entity;
  • iii. Any affiliate of the entity, and
  • iv. and for these purposes a person or group of persons able, directly or indirectly, to control or materially to influence the policy of a body corporate but without having a controlling interest in that body corporate, may be treated as having control of it;

3. Voyis Imaging Incorporated will gain control of the Qualifying Asset through a licence and as such will be able to use the Qualifying Asset or use it to a greater extent than prior to gaining control (“the Acquisition”).

4. The Acquisition constitutes a trigger event under section 9(1)(a) of the Act.

5. The Secretary of State considers that a risk to national security will arise from this trigger event as a result of potential military uplift to foreign states through gaining access to the licensed Qualifying Asset.

6. The Final Order has the effect of requiring Voyis Imaging Incorporated to carry out due diligence checks on all new customers wanting to purchase the Qualifying Asset and to report to HM Government details of all new customers of the Qualifying Asset on an annual basis.

7. The Secretary of State considers that the Final Order is necessary and proportionate to mitigate the risk to national security.
