Publication of notice of Final Order

1. Following a detailed national security assessment, the Chancellor of the Duchy of Lancaster has made a final order pursuant to section 26 of the National Security and Investment Act 2021 (“the Act”), which comes into force on 6 March 2025.

2. The parties who are subject to the order are:

i. Advanced Manufacturing (Sheffield) Limited (“AML”);

ii. Walsin Lihwa Europe S.à r.l. (“Walsin Europe”); and

iii. Walsin Lihwa Corporation.

3. Walsin Europe will gain control of the qualifying entity by acquiring 38.8% of the shareholding in AML. This acquisition is a trigger event under section 8(2)(a) of the Act.

4. The Chancellor of the Duchy of Lancaster has approved the acquisition of AML by Walsin Europe, subject to the condition that the parties:

i. meet certain operational requirements, including restrictions on the location of AML’s precision engineering capabilities and a requirement to retain certain existing operational activity in the UK;

ii. ensure that AML employs a Chief Security Officer, who must oversee and ensure compliance with the conditions set out in the Final Order;

iii. meet certain requirements relating to IT equipment, data storage, access and handling; and

iv. uphold certain terms of employment concerning confidential information and intellectual property rights.

5. The Chancellor of the Duchy of Lancaster considers that the Final Order is necessary and proportionate and the measures contained within the Final Order mitigate the risks to national security relating to:

i. The security of United Kingdom know-how and intellectual property relating to the precision engineering of gas turbine engine components, access to which could lead to an uplift in adversaries’ capabilities; and

ii. An interruption to the continuity of supply of precision-machining capabilities to United Kingdom defence programmes.
