1. The Chancellor of the Duchy of Lancaster has varied a final order pursuant to section 27 of the National Security and Investment Act 2021 (“the Act”). The variation comes into force 30 April 2026.
2. The Parties who are subject to the order are:
a. Maple Armor Group Corporation (“Maple Armor”);
b. Fireblitz Extinguisher Limited; and
c. Fireblitz Europe Limited.
3. On 1 April 2024, Maple Armor Group Corporation gained control of the qualifying entities, Fireblitz Extinguisher Limited and Fireblitz Europe Limited by increasing the percentage of shares held in Fireblitz Extinguisher Limited and Fireblitz Europe Limited from less than 75% to 75% or more (the “Acquisition”).
4. The Acquisition is a trigger event under section 8(2)(c) of the Act.
5. Following a detailed national security assessment, the Chancellor of the Duchy of Lancaster previously made a final order pursuant to section 26 of the National Security and Investment Act 2021 (“the Act”), which came into force on 21 May 2025. The order had the effect of allowing the acquisition to proceed subject to the following conditions:
a. Fireblitz Extinguisher Limited and Fireblitz Europe Limited shall not develop, market or manufacture their own proprietary Internet of Things (“IoT”) networked device technology;
b. Fireblitz Extinguisher Limited and Fireblitz Europe shall not develop, manufacture or market networked IoT devices in partnership with entities incorporated, or whose ownership directly or indirectly is incorporated in, jurisdictions outside of a pre-approved list. This includes;
- Prohibiting Fireblitz Extinguisher Limited and Fireblitz Europe Limited from sourcing or procuring certain componentry that is key to the functioning of IoT capable devices from countries outside of a pre-approved list for IoT networked devices which it may in the future market, sell or otherwise distribute;
c. Ensuring that Fireblitz Extinguisher Limited and Fireblitz Europe Limited only have access to certain permitted data generated from IoT networked devices which it may in the future market, sell or otherwise distribute;
- This will include compliance with certain data handling requirements
d. Certain entities, and affiliated entities shall not access, control or own any data generated from IoT networked devices which it may in the future market, sell or otherwise distribute.
6. The Chancellor of the Duchy of Lancaster considers that these measures are necessary and proportionate to mitigate the risk to national security relating to:
a. the potential for the collection of, and access to, data about individuals and entities in the UK through controlling the supply chain and/or the operation of Internet of Things networked devices that could be produced or marketed by Extinguisher Limited and Fireblitz Europe Limited in the future
7. The variation to the final order amends data definitions and creates approval mechanisms for deviation from designated countries and retention of permitted data requirements to allow for the requirements of the final order to remain effective.
8. The Chancellor of the Duchy of Lancaster considers that the Final Order (as varied) is necessary and proportionate to mitigate the risk to national security.
