Acquisition of a 75% shareholding in Fireblitz Extinguisher Limited and Fireblitz Europe Limited by Maple Armor Group Corporation: notice of final order

1. Following a detailed national security assessment, the Chancellor of the Duchy of Lancaster has made a final order pursuant to section 26 of the National Security and Investment Act 2021 (“the Act”), which comes into force on 22 May 2025.

2. The parties who are subject to the order are: 

a. Maple Armor Group Corporation (“Maple Armor”);

b. Fireblitz Extinguisher Limited (“Fireblitz”); and

c. Fireblitz Europe Limited (“Fireblitz”).

3. On 1 April 2024, Maple Armor Group Corporation gained control of the qualifying entities, Fireblitz Extinguisher Limited and Fireblitz Europe Limited by increasing the percentage of shares held in Fireblitz Extinguisher Limited and Fireblitz Europe Limited from less than 75% to 75% or more (“the Acquisition”). 

4. The Acquisition is a trigger event under section 8(2)(c) of the Act. 

5. The Chancellor of the Duchy of Lancaster has allowed the acquisition to proceed subject to the following conditions: 

a. Fireblitz Extinguisher Limited and Fireblitz Europe Limited shall not develop, market or manufacture their own proprietary Internet of Things (“IoT”) networked device technology;

b. Fireblitz Extinguisher Limited and Fireblitz Europe shall not develop, manufacture or market networked IoT devices in partnership with entities incorporated, or whose ownership directly or indirectly is incorporated in, jurisdictions outside of a pre-approved list. This includes;

i. Prohibiting Fireblitz Extinguisher Limited and Fireblitz Europe Limited from sourcing or procuring certain componentry that is key to the functioning of IoT capable devices from countries outside of a pre-approved list for IoT networked devices which it may in the future market, sell or otherwise distribute;

c. Ensuring that Fireblitz Extinguisher Limited and Fireblitz Europe Limited only have access to certain permitted data generated from IoT networked devices which it may in the future market, sell or otherwise distribute;

i. This will include compliance with certain data handling requirements 

d. Certain entities, and affiliated entities shall not access, control or own any data generated from IoT networked devices which it may in the future market, sell or otherwise distribute.

6. The Chancellor of the Duchy of Lancaster considers that the measures contained within the Final Order are necessary and proportionate to remedy, prevent or mitigate the risks to national security relating to the potential for the collection of, and access to, data about individuals and entities in the UK through controlling the supply chain and/or the operation of Internet of Things networked devices that could be produced or marketed by Fireblitz in the future.
