Details

Explanatory notes for proposed amendments to the Enterprise and Regulatory Reform Bill on directors’ remuneration. The new clauses aim to require a shareholder resolution on a company’s directors’ remuneration policy and to require that any remuneration payments and payments for loss of office are consistent with this policy, or else separately approved by shareholders.
